1. Introduction

Welcome to Olyve. These Terms of Service ("Terms") govern your use of the Olyve platform located at olyve.eu ("Platform").

By using our Platform, you agree to these Terms. If you do not agree, please do not use our services.

2. About Olyve & Reseller Relationship

Olyve is a digital product marketplace that acts as Merchant of Record. This means:

  • Olyve is the legal seller to end customers
  • Olyve handles VAT collection and remittance for all EU countries
  • Creators receive payouts minus the platform fee and transaction costs

Reseller Appointment: By listing products on Olyve, you (the Creator) appoint Olyve as a non-exclusive reseller of your Digital Products. Olyve purchases the right to resell your products to end customers on your behalf.

3. Eligibility

To use Olyve as a Creator (seller), you must be at least 18 years old and have the legal capacity to enter into binding contracts. Buyers must be at least 16 years old or have parental/guardian consent.

4. Platform Fee & Transaction Costs

Olyve charges a platform fee of 8% on each sale. This fee covers VAT handling, file hosting, and platform maintenance.

Transaction costs are charged separately:

  • iDEAL: €0.29 per transaction
  • Bancontact: €0.39 per transaction
  • Credit Card: 1.8% + €0.25 per transaction
  • Other methods: as per payment provider rates

Both the platform fee and transaction costs are deducted from the sale price before payout to the Creator.

5. Creator Payouts & Invoicing

Payout Schedule:

  • Payouts are processed every 14 days
  • Payouts are made via bank transfer (SEPA)
  • Creators are responsible for reporting income to their local tax authorities
  • Upon account termination, any outstanding balance will still be paid out

Self-Billing Agreement:

By using Olyve, you agree that Olyve will issue purchase invoices (self-billing) on your behalf for all products sold through the platform. These invoices document Olyve's purchase of your products for resale.

Important: You shall not issue any invoice directly to end customers for products sold through Olyve. Olyve is the sole seller to end customers.

6. Refund Policy

All sales are final. No refunds are available for digital products purchased through Olyve.

Before completing a purchase, all buyers must explicitly consent to waive their right of withdrawal in accordance with EU consumer protection laws for digital content (Directive 2011/83/EU, Article 16(m)). By checking the consent box at checkout, buyers acknowledge that:

  • They consent to immediate access to the digital content
  • They waive their right of withdrawal upon purchase completion
  • They will not be entitled to a refund

Exceptional Cases: In exceptional circumstances (e.g., corrupted files, product significantly different from description), Olyve may, at its sole discretion, issue a refund or credit. Such decisions are final and non-negotiable.

7. Prohibited Content

The following types of products are strictly prohibited on Olyve:

  • Adult or pornographic content
  • Gambling or betting-related products
  • IPTV services or pirated streaming content
  • Pirated software, movies, music, or other copyrighted material
  • Products that infringe on intellectual property rights
  • Malware, viruses, or malicious software
  • Products promoting violence, hate, or discrimination
  • Illegal drugs or controlled substances
  • Any product that violates applicable laws

Olyve reserves the right to remove any content that violates these rules without prior notice.

8. Creator Responsibilities

As a Creator on Olyve, you agree to:

  • Only sell products you have the right to sell
  • Provide accurate product descriptions
  • Deliver functional, non-corrupted files
  • Respond to buyer inquiries in a timely manner
  • Comply with all applicable laws and regulations

9. Chargebacks & Disputes

A chargeback occurs when a buyer disputes a charge with their bank or credit card company. As a Creator, you are responsible for the quality and accuracy of your products.

Creator Liability: The Creator is responsible for reimbursing Olyve for any chargebacks, chargeback fees, and associated costs resulting from disputes related to their products. These amounts will be deducted from future payouts or invoiced separately if the payout balance is insufficient.

Typical chargeback fees range from €15-25 per incident, plus the original transaction amount. Excessive chargebacks (more than 1% of transactions) may result in account suspension or termination.

10. Account Termination

Olyve may suspend or terminate your account for:

  • Violation of these Terms of Service
  • Uploading prohibited content
  • Fraudulent activity or excessive chargebacks
  • Extended inactivity (12+ months with no sales)

You may also request to close your account at any time by contacting us. Any outstanding balance will be paid out according to the regular payout schedule.

11. Intellectual Property

Creators retain full ownership of their products. By uploading to Olyve, you grant us a non-exclusive license to host, display, and distribute your products solely for the purpose of operating the Platform.

12. Limitation of Liability & Indemnification

Limitation of Liability: Olyve is provided "as is" without warranties of any kind. We are not liable for any indirect, incidental, or consequential damages arising from your use of the Platform. Our total liability is limited to the amount of fees paid by you in the 12 months preceding the claim.

Indemnification (Vrijwaring):

As a Creator, you agree to indemnify, defend, and hold harmless Olyve and its owner from any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:

  • Your products, content, or materials sold through the Platform
  • Infringement of intellectual property rights or copyrights
  • Violation of these Terms of Service
  • Any claims by third parties related to your products
  • Chargebacks, fraud, or disputes related to your transactions
  • Your violation of any applicable laws or regulations

13. Governing Law

These Terms are governed by the laws of the Netherlands. Any disputes shall be resolved in the courts of Amsterdam, Netherlands.

14. Changes to Terms

We may update these Terms from time to time. We will notify registered users of significant changes via email. Continued use of the Platform after changes constitutes acceptance of the new Terms.
